The terms and conditions below govern your use of our website development and maintenance services. By accessing our website and using our services, you agree to comply with and be bound by these terms. If you do not agree with any part of these terms, please do not use our services.

Acceptance
The agreement outlined in these terms and conditions applies to all clients, whether or not they have signed a formal acceptance document. By accepting a quote from us, you are acknowledging that you have reviewed and agree to abide by the terms and conditions stated herein.

Subscription Duration:
All subscriptions to our website development and maintenance services are for a minimum duration of 24 months.

Payment and Billing:
You agree to pay all fees and charges associated with your subscription in accordance with the pricing and payment terms provided to you. Payments are due on a monthly basis and will be automatically charged to your chosen payment method.

Cancellation Policy:
If you wish to cancel your subscription after the website is developed, you are required to fulfill the minimum subscription term of 24 months. This means you will need to continue paying for the remaining duration of your subscription. Once the initial 24-month subscription period is completed, you have the option to cancel your subscription at any time without any additional charges. However, please note that ongoing support for your website will cease after cancellation.

Website Contents:
Webkooker requires clients to provide all necessary information in advance for the development of their website. If progress is hindered due to a delay in providing required information within the agreed timeframe, Webkooker reserves the right to impose a surcharge.

Client Review
Webkooker will offer clients the opportunity to review the appearance and content of the website during the design phase and upon completion of the overall website development. Upon project completion, these materials will be accepted and approved unless the client notifies Webkooker otherwise within fourteen (14) days of the materials being made available.

Intellectual Property Rights:
You retain ownership of all intellectual property rights to any content you provide for inclusion on your website. However, by providing such content, you grant us a non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content solely for the purpose of providing our services.

Turnaround Time and Content Control
Webkooker will install and publicly post or supply the client’s website by the date specified in the project proposal, or on a date agreed upon with the client upon Webkooker receiving the initial payment, unless a delay is specifically requested by the client and agreed upon by Webkooker.

During the project, Webkooker will require the client to provide website content, including text, images, videos, and sound files.

Default
Accounts unpaid after 30 days will be considered in default. If the client maintains files on Webkooker’s web space and is in default, Webkooker may remove such material at its discretion. Webkooker is not liable for any data loss resulting from this removal. Clients with defaulted accounts agree to pay Webkooker’s reasonable expenses, including legal fees, for collection.

Copyright
The client retains copyright to the provided data, files, and graphic logos, granting Webkooker rights to publish and use such material. The client must obtain permission to use any copyrighted third-party materials. The client is responsible for granting Webkooker permissions and agrees to indemnify and hold harmless Webkooker from any claims resulting from negligence or inability to obtain proper copyright permissions. The client’s agreement serves as a guarantee that all permissions have been obtained.

Standard Media Delivery
This Agreement assumes that the client will provide text in electronic format (ASCII text files via thumb drive, CD, email, or FTP) and graphics in high-quality print suitable for scanning or electronic formats like .gif, .jpeg, .png, or .tiff. While every effort will be made to return any provided images or printed material, return cannot be guaranteed.

Design Credit
A link to Webkooker will appear at the bottom of the client’s website in small type or by a small graphic, designed to complement the overall site design. The client also agrees that their website may be featured in Webkooker’s portfolio.

Access Requirements
If the client’s website is to be installed on a third-party server, Webkooker must be provided with temporary read/write access to the client’s storage directories via FTP. Additional server resources may also need to be configured depending on the project’s requirements.

Post-Placement Alterations
Webkooker cannot be held responsible for any alterations a third party makes to the client’s pages after installation. These alterations may include additions, modifications, or deletions and are beyond our control.

General
These Terms and Conditions supersede all previous representations, understandings, or agreements. The client’s signature below or payment of an advance fee constitutes agreement to and acceptance of these Terms and Conditions. Payment online also constitutes acceptance of our terms and conditions.

Governing Law:
These terms and conditions shall be governed by and construed in accordance with the laws of the country that the client is from, without regard to its conflict of law provisions.

Liability
Webkooker, its employees, and agents hereby exclude themselves from all liability for:

Loss or damage caused by inaccuracies;
Loss or damage caused by omissions;
Loss or damage caused by delays or errors in the production of the website, whether due to negligence or other causes;
Loss or damage to clients’ artwork/photos supplied for the site, regardless of whether the loss or damage results from negligence or other causes.

Webkooker’s entire liability to the client for any claim or breach of this Agreement, whether arising from negligence or otherwise, shall be limited to the charges paid for the services under this Agreement in respect of which the breach has occurred.

Changes to Terms and Conditions:
Webkooker reserves the right to modify or revise these terms and conditions at any time. We will notify you of any changes by posting them on this page. Your continued use of our services after any such changes constitutes your acceptance of the new terms and conditions.
